Job Description
Objective Intervene and give (his/her) general or specific legal vision of all legal aspects in labor, administrative, procedural, criminal, corporate, contractual, public and private tenders, litigations, mergers and acquisitions of the companies in Mexico and Business Units of Hispanic America. To provide legal advice and opinions required by internal areas, clients, subsidiaries and suppliers, with emphasis on the prevention, correction and execution of regulatory and relational matters with governmental and private sector bodies, to respond, prevent and anticipate legal risks. He/she is also responsible for the constant updating and implementation of laws, reforms and communications that directly and indirectly affect the operation of the organization. First guarantor and sentinel of all legal Group Policies and link between Hispanic Business Units and EQ team Main responsabilities / task Responsible of lead and conduct the legal team composed by 7 lawyers in the Shared Services in Mexico. Responsible for the knowledge & applicability of the legal system of Mexico and Hispanic America, to solve any type of legal issues in each matter that arises according to the objectives of the position, which is consulted and generates answers and accurate solutions in the shortest possible time. Provide support as an internal legal office to all company areas, with discretion in making decisions endorsed by the immediate legal supervisor. Control the Legal Services Requests System to assign and respond in the shortest possible time, to all requests for comments and changes in contracts of customers, subsidiaries, and suppliers, submitted by the respective internal areas. Advise on all contracts to be signed by the companies of Mexico, and Hispanic America through Commercial Alliances, Suppliers, Commercial Commissions, leasing, acquisition, strategic partnerships, trademarks, and all contracts in which Edenred Mexico and Hispanic America companies are parties. Support in the merger and liquidation of companies, intervening in the legal strategy of these operations, advising and taking care to keep up to date with all corporate and partnership matters, including the update of all matters (litigations, corporate AoA, SHM, main providers contract upload, Leasing contracts, Delegation of Powers, etc.) the Dilitrust platform, of all companies in Mexico and Hispanic America Business Units. Daily review of the Official Journal of the Federation and other information media of the Countries, to measure the grade of implication for the company of the laws, decrees, and regulatory frameworks that are published daily, to prevent and anticipate legal risks, and notify the areas involved to establish strategies or tactics in this regard. Support, when required, on legal framework in the areas of Compliance, Data Protection, and Risks in Mexico and in the countries in Hispanic region. Support and advise the areas of the companies in Mexico and Hispanic America on issues where the legal area must intervene for contracts, alliances, or contingencies of strategic value, executing negotiation and representation actions before third parties and giving approval on the legal feasibility of proposals. Agree with external law firms on the strategy for labor, criminal, or administrative hearings where the company's presence is required to represent the company in litigation in Mexico and Hispanic American countries. Ensure that all group policies (Legal Handbook Procedures, Insurance Handbook Procedures, Data Protection, Antitrust, Edenred contractual Procedure, Litigation Procedure, Antibribery, Code of Ethics, and others issued by Edenred Group) are fully complied with. Needed experience for the rol 10 to 15 years in legal activities. Advanced English Education: Lawyer with specialization in corporate law or similar Proven experience in corporate legal leadership across Hispanic America, preferably in multinational environments. Strong analytical and problem-solving skills with the ability to break down complex legal issues. Excellent interpersonal and communication skills, with the ability to influence and advise stakeholders with a highly ability to think smart decisions with long term efficiency. High level of empathy, adaptability, leadership and business acumen. Ability to deliver efficient results under pressure and within tight timelines.
